Business Membership Terms & Conditions

Last updated: 6 November 2026

Website business-to-business membership agreement. These terms apply to business membership purchases through scottishweddingclub.com and must be accepted before payment.

1. Parties and agreement

“SWC”, “we” and “us” mean Glasgow Wedding Club Ltd trading as Scottish Wedding Club, company number SC890877, registered office 14 Royal Terrace, Glasgow, G3 7NY, contact email office@scottishweddingclub.com. “Member” means the business named in the checkout application. These Terms, the selected package description displayed at checkout, the completed application and the payment authorisation form the Agreement. If there is a conflict, the checkout package description controls the package-specific benefits and price; these Terms control general obligations. The Member confirms that its purchaser has authority to bind the business and is buying for business purposes.

2. Application and acceptance

Submitting an application and card details is an offer to enter the Agreement. SWC may check eligibility, category suitability, content and availability and may decline an application on reasonable grounds. The Agreement begins when SWC confirms acceptance by email or activates the membership, whichever occurs first. If declined, any payment collected will be refunded. The Member must provide accurate legal business name, trading name, contact details, category, location, website and marketing materials and keep them updated.

3. Membership term and renewal

Each membership runs for 12 calendar months from the activation date confirmed in SWC’s acceptance email (“Membership Year”). It automatically renews for successive 12-month periods unless either party gives written notice of non-renewal at least 30 calendar days before the end of the current Membership Year. Notice must be sent to the designated membership email address and is effective when received; SWC will acknowledge it in writing within five working days. Members should retain evidence of sending and receipt. A non-renewal notice does not end the current Membership Year, remove fees due for it, or create a refund entitlement. Suspension does not stop or extend the term. SWC will email a renewal reminder at least 45 days before the anniversary, stating the renewal date, cancellation deadline, next year's total price including VAT, payment arrangement and how to cancel. A reminder is an additional safeguard, not a substitute for the original agreed renewal terms. SWC will not impose an increased renewal price or materially different payment plan without notifying the Member at least 45 days before renewal and obtaining any consent legally required; if the Member rejects a proposed increase or material change, it may decline renewal without penalty by written notice before renewal. If SWC fails to provide the promised advance reminder, it will allow the Member to cancel the renewal without penalty within 30 days after receiving the late reminder and refund any renewal payment collected for undelivered renewal services. SWC may decline renewal by giving at least 30 days' written notice.

4. Packages and fees

Presence: £395 plus VAT (£474 including VAT), payable in full on application. Exposure: £995 plus VAT (£1,194 including VAT), payable in three equal instalments of £398 including VAT. Premium: £1,595 plus VAT (£1,914 including VAT), payable as £478.50 including VAT on application and nine further instalments of £159.50 including VAT. All prices are for 12 months and assume VAT at 20%; applicable VAT is charged at the prevailing legal rate and VAT invoices/receipts will be provided. No package conveys Founding Member status unless separately agreed in writing.

5. Payment dates and card authority

Presence: £474 including VAT is due immediately at checkout. Exposure: £398 including VAT is due immediately at checkout, followed by £398 on each of the next two calendar-month 25ths. Premium: £478.50 including VAT is due immediately at checkout, followed by £159.50 on each of the next nine calendar-month 25ths. If checkout is between 15th and 25th, the next charge is on the 25th of the following month. SWC will display the actual instalment dates and total annual commitment before payment and confirm them by email. On renewal, unless a different schedule is clearly disclosed and accepted, the same package's annual price is payable using the equivalent payment structure: Presence in full at renewal; Exposure in three equal instalments (first at renewal, then on the next two 25ths); Premium with 25% at renewal and the remaining 75% in nine equal monthly instalments on the next nine 25ths. Any rounding difference will be adjusted in the final instalment. Renewal charges must be clearly shown in the advance reminder and renewal confirmation. By accepting these Terms the Member authorises SWC, via Stripe, to take the initial and subsequent scheduled payments, including renewal payments under the agreed automatic-renewal arrangement, from its nominated valid debit or credit card. The Member must supply a valid card at checkout, keep its payment details current and promptly update a failed or expired card through a secure Stripe payment link. SWC may retry failed transactions and contact the Member; it will not levy undisclosed fees or charge a different amount without appropriate notice and authorisation. SWC does not require payment card details by ordinary email. Stripe's applicable payment and privacy terms also apply.

6. Overdue payments and visibility suspension

Cleared funds for each payment scheduled on the 25th must be received by SWC no later than the 1st calendar day of the following month. If they have not been received by that date, SWC may suspend the Member's public directory profile and pause package-specific promotional visibility and unfulfilled benefits until all overdue amounts clear. SWC will use reasonable efforts to notify the Member of payment failure and impending suspension, but the payment deadline remains binding even if an email is missed. SWC will restore eligible visibility within a reasonable operational period after cleared payment and any necessary updated card authority. Suspension is not cancellation or termination: it does not stop instalments, reduce the full annual price, extend the Membership Year, or entitle the Member to replacement promotional placements for the suspended period. SWC may withhold an exhibition allocation while sums are overdue, subject to reasonable event deadlines. For persistent non-payment, SWC may give written notice specifying the breach and at least 14 days to remedy it before termination, and may pursue amounts lawfully recoverable. Any acceleration or recovery of future instalments remains subject to applicable law and reasonable mitigation.

7. Benefits and limitations

The selected package benefits are those shown in the package schedule at checkout and incorporated into this Agreement. Directory positioning, category caps, promotional slots, editorial opportunities and exhibition benefits are subject to the expressly stated package terms, suitability, reasonable editorial scheduling and availability. “Opportunity” does not mean guaranteed publication or placement. General SWC television, radio, search, social, outdoor or event advertising promotes the collective; membership does not guarantee that an individual Member will feature in a paid advertisement or creative, receive enquiries, sales, bookings, ranking, traffic, leads or return on investment. SWC may make reasonable operational changes to channels or presentation without materially reducing the purchased package’s overall benefits. Any material reduction will be notified with a proportionate remedy as required by law.

7A. Variation and Substitution of Membership Benefits

Scottish Wedding Club reserves the right to amend, replace, reschedule or withdraw individual membership benefits where reasonably necessary due to operational requirements, supplier or media partner arrangements, availability, commercial circumstances, changes to advertising platforms, event arrangements or other circumstances affecting the delivery of the original benefit. Where a material membership benefit is withdrawn or cannot be delivered as originally described, Scottish Wedding Club will use reasonable endeavours to provide a suitable alternative benefit offering substantially comparable promotional exposure, commercial value or practical benefit to the Member, taking into account the nature and purpose of the original benefit. Alternative benefits may include, but are not limited to, digital advertising, social media promotion, enhanced directory visibility, editorial features, newsletter inclusion, event promotion or other marketing opportunities. Scottish Wedding Club retains reasonable discretion over the selection, timing, format and delivery of substitute benefits. The Member will be notified in writing of any material substitution, together with an explanation of the replacement benefit. Any substitution must not materially reduce the overall value of the Member's purchased package. Where Scottish Wedding Club cannot provide a reasonably comparable alternative, the parties will discuss an appropriate remedy, which may include a proportionate credit or refund relating to the undelivered benefit. A substitution made in accordance with this clause will not, by itself, entitle the Member to cancel the annual membership agreement or withhold outstanding membership payments, without prejudice to any rights or remedies available under applicable law.

8. Exhibition terms

Presence offers a standard exhibition rate, and Exposure a preferential exhibition rate, in each case subject to space availability and the relevant event's conditions; neither includes a free stand. Premium includes one standard exhibitor place at one SWC wedding show during the relevant Membership Year, subject to availability, reasonable suitability and the event's published exhibitor rules, booking deadlines, venue requirements and health and safety conditions. SWC will offer an available qualifying event and confirm the booking process in writing; the Member must respond by the specified reasonable deadline. The entitlement is for one wedding show only and does not roll over automatically, confer a right to a particular event or location, or include electricity, furniture, insurance, enhanced space or other extras unless expressly confirmed. If SWC cannot make any qualifying place available during the Membership Year for reasons within its control, it will offer an equivalent alternative or a fair proportionate remedy for the undelivered benefit. Where an event is postponed or cancelled for reasons beyond SWC's reasonable control, SWC will communicate reasonable alternatives or remedies taking account of the circumstances and applicable law.

9. Member responsibilities and content licence

The Member warrants that its information, claims, images, music, logos, testimonials, offers and links are accurate, lawful, up to date and that it owns or has secured all rights, consents and licences needed for SWC to use them. The Member grants SWC a non-exclusive, royalty-free licence during the term to reproduce, resize, edit for formatting and display supplied materials for the directory and agreed membership promotion, including reasonable archival copies after expiry. SWC will not knowingly make material misleading edits. The Member must comply with applicable advertising, consumer, data protection, equality, intellectual property and wedding-industry laws; fulfil its own customer contracts; hold suitable licences and insurance; and avoid misleading, discriminatory, offensive or unlawful content. SWC may request corrections, reject or remove problematic material and temporarily suspend content where reasonably necessary.

10. Cancellation, termination and refunds

This is a business-to-business agreement, not a consumer purchase; no general consumer cooling-off right is offered. A Member may prevent automatic renewal by giving written notice received at least 30 calendar days before the end of the current Membership Year, in accordance with clause 3. A request to cancel during a Membership Year, removal of a listing, suspension, stopping card payments or failure to use benefits does not automatically terminate the Agreement or extinguish the annual fee commitment. Early release requires SWC's written agreement, except where a contractual or legal right to terminate applies. Either party may terminate for the other's material breach if it remains unremedied 14 days after written notice where remedy is possible. Immediate termination may be justified for fraud, serious illegality, substantial rights infringement or serious safety risk. SWC may terminate for persistent non-payment following the notice in clause 6. If SWC materially breaches the Agreement and fails to remedy it, SWC will refund prepaid sums fairly attributable to undelivered services and will not demand future charges for those undelivered services. If the Member breaches or asks to leave early, any recovery of unpaid sums will be limited to amounts lawfully recoverable, allowing for services provided, avoided costs and mitigation; this clause is not intended to impose an unenforceable penalty. No provision excludes mandatory legal remedies. Following valid non-renewal, membership and benefits cease at the end of the paid Membership Year.

11. Categories, limits and positioning

Presence has no stated category cap and a standard directory position. Exposure has a regional category limit of 20; Premium has a category limit of 10 including Founding Members, as described in the brochure. Limits are applied to SWC’s reasonable classification of categories and regions and are subject to places remaining at acceptance. SWC does not grant exclusivity unless expressly agreed in writing. SWC may reject an application or propose a different category if a cap is reached. “Priority” and “enhanced” describe relative directory treatment and do not promise a fixed search ranking or position.

12. Privacy and data protection

Each party must comply with applicable UK GDPR, Data Protection Act 2018 and direct-marketing rules. SWC will process Member contacts and billing information for application handling, membership delivery, payment administration, communications and legal compliance as described in its published Privacy Notice https://scottishweddingclub.com/privacy-policy. Stripe processes payment information under its own applicable privacy terms. Members must not harvest or misuse couple or community data and must obtain appropriate consent or another lawful basis for their own marketing. If the parties process personal data on each other’s behalf, they will enter any legally required separate data processing agreement.

13. Intellectual property and brand

SWC retains all rights in its name, crest, website, directory design, advertising creative and original content. Membership does not confer ownership or a general licence to SWC marks. Members may describe themselves accurately as SWC members during an active, paid membership using approved assets and brand guidance; use must stop on expiry or termination. SWC may use the Member’s supplied name and branding solely as reasonably necessary to deliver the agreed services. Neither party may imply endorsement, partnership or guaranteed accreditation beyond the membership.

14. Liability

Nothing excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded. SWC will provide services with reasonable care and skill. Subject to the preceding sentence, SWC is not liable for indirect or consequential losses, lost profits, lost business opportunities or losses arising from Member-provided inaccurate content or third-party platform changes outside its reasonable control. SWC’s aggregate liability arising from the Agreement is limited to the total membership fees paid or payable for the relevant Membership Term, except where that limitation would be unlawful or unreasonable under applicable law. Each party must take reasonable steps to mitigate its losses.

15. Service availability and events beyond control

SWC may perform routine maintenance and may experience reasonable website, payment-provider or third-party advertising outages. It will use reasonable efforts to restore material service interruptions. Neither party is responsible for delay caused by events beyond its reasonable control, but payment obligations for services already delivered remain due. If a substantial part of the membership cannot be delivered for a prolonged period, SWC will discuss a fair alternative, extension or proportionate refund as appropriate.

16. Notices, changes and disputes

Notices must be sent to the contact email supplied by the Member and SWC’s designated contact email office@scottishweddingclub.com. Members must notify SWC of material changes to their details. SWC may update these Terms for future memberships; it will not unilaterally impose material adverse changes on an existing term without agreement or a lawful basis. The parties will first seek to resolve disputes promptly and in good faith. The Agreement is governed by Scots law and, subject to any mandatory jurisdiction rules, Scottish courts have jurisdiction. If any provision is unenforceable, the remainder continues.

17. Checkout acknowledgement

Before the payment button, SWC must clearly show the selected package and included benefits, 12-month initial term, automatic annual renewal, annual price excluding and including VAT, amount payable today, every future instalment amount and date, the 30-day written non-renewal deadline, suspension rules, and a link to these Terms and the Privacy Notice. Use an unticked, mandatory checkbox with wording such as: “I confirm that I am authorised to bind the business named in this application. I agree to the Scottish Wedding Club Business Membership Terms & Conditions and the full 12-month membership price. I understand that membership automatically renews for further 12-month periods unless written cancellation notice is received at least 30 days before the current term ends. I authorise Scottish Wedding Club, through Stripe, to charge my nominated card for the initial, scheduled instalment and properly notified renewal payments. I understand that overdue payments may lead to suspension of my listing without cancelling my payment obligations.” Retain an auditable record of the agreed Terms version, date and time, business and authorised purchaser, package, total price, payment dates, renewal date, consent and confirmation email. Send a durable confirmation of the Agreement and payment schedule promptly after acceptance.
